A contract between a copyright holder and a publisher to legally publish a work. There are two types of contracts: a publishing license contract and a publishing rights contract. The former is a consensual/non-contractual credit contract in which the copyright holder (including the person who has acquired the reproduction rights, which are part of the copyright) grants the publisher permission to publish, and the publisher is obligated to reproduce and distribute the work on its own account. The latter is a quasi-real rights contract between the copyright holder and the publisher, with the purpose of establishing the publishing rights. The two terms are generally used depending on whether the publication is in the form of a book or a periodical such as a magazine. In other words, in the case of book publishing, since permanent publication is generally intended, the majority of contracts are publishing rights contracts that give the publisher exclusive and monopoly rights, and there are relatively few examples of publishing licenses. Although there are many cases in which publishing contracts are concluded verbally, it can be said that even in such cases, the establishment of publishing rights is taken into consideration. In contrast, in the case of magazine publishing, which is generally intended for one-time use, the publisher does not need to obtain exclusive rights, and it is generally understood that a publishing license agreement is therefore concluded.

著作権者と出版者との間の著作物を適法に出版するための契約をいう。これには出版許諾契約と出版権設定契約の2種がある。前者は、著作権者(著作権の内容の一部である複製権を譲り受けた者を含む)が出版者に対して出版を許諾し、他方、出版者は自己の計算において複製・頒布する義務を負う諾成・不要式の債権契約をいい、後者は、著作権者と出版者との間の出版権の設定を目的とする準物権契約をいう。両者は出版の形式が書籍であるか雑誌のごとき定期刊行物であるかによって使い分けがなされるのが一般である。すなわち、書籍出版の場合は一般に永続的な出版を意図するものであるから、出版者に排他的・独占的な権利を与える出版権設定契約がその主流を占め、出版許諾の例は比較的少ない。もっとも出版契約を口頭で結ぶ例は多いが、この場合でも出版権の設定を意識しているといってよい。これに反し、雑誌出版の場合は一般に1回限りの利用を意図するものであるから、出版者としては独占的な権利を取得する必要はなく、したがって出版許諾契約が締結されたものと解するのが普通のようである。
